These Influencer and Affiliate Program Terms form a legally binding agreement between Designer Kids Club Ltd (“DKC”, “we”, “us”, “our”) and each participant accepted into our affiliate or influencer programme (“you”, “your”, “Participant”).

By applying to the programme, accepting a brief, using an affiliate code or link, or creating content relating to DKC in exchange for benefit, you agree to be bound by these Terms.

These Terms operate in addition to:

• Website Terms of Use

• Privacy Policy

• Cookie Policy

• Community Standards

• Seller / Rental Terms (if applicable)

Where there is conflict, these Terms apply to affiliate and influencer activity.

1. Definitions

Affiliate

An approved participant who earns commission from eligible sales generated via unique links or codes.

Influencer

A content creator engaged to deliver specific content, posts, experiences, or events, compensated by fee, gifting, or other agreed value.

Deliverables

Any content, media, or participation requested or agreed in a DKC campaign brief.

Campaign

A defined agreement for Deliverables with timeline and compensation.

Affiliate Link or Code

A unique link or code issued by DKC to track Eligible Sales.

Eligible Purchase

A qualifying sale that has not been cancelled, refunded, returned, or fraud-flagged.

Competitor

Any children’s luxury resale, rental, circular kidswear platform or brand-operated resale programme.

2. Joining and Eligibility

• Applications are reviewed and approved at DKC discretion

• You must be at least 18 years old

• You must be legally eligible to operate as a self-employed creator or affiliate

• We may request analytics or verification

• Approval may be revoked at any time

You must notify us if your legal or tax status changes.

3. Conduct and Content Standards

You agree to:

• Represent DKC positively, accurately, and respectfully

• Use legally required disclosure (#ad, #gifted, etc.) in line with ASA, CMA, CAP Code, and platform guidelines

• Produce original content without infringing third-party rights

• Avoid encouraging fast fashion or unethical consumption practices

• Comply with child-safety, brand-suitability and safeguarding standards

Prohibited content includes:

• Counterfeit, harmful or unsafe goods

• Discrimination, harassment or hate

• Harmful parenting content or unsafe child depictions

• Explicit, violent or misleading content

• Paid placement of competitor resale/rental platforms during active collaboration

4. Affiliate Programme Rules

Commission structure:

• Applies only to Eligible Purchases

• Calculated on Net Sales excluding VAT, shipping and discounts

• Paid monthly in arrears once a minimum £25 threshold is reached

• Returned or fraudulent transactions are excluded

• Rates may be adjusted with advance notice

Expired, misused or manipulated links void commission.

5. Influencer Deliverables

Deliverables must:

• Follow supplied briefs

• Use supplied key messages where requested

• Avoid making claims not approved by DKC

• Submit drafts when requested

• Include required tags or mentions

• Meet timeline and quality standards

Failure to deliver may result in:

• Fee reduction or cancellation

• Return of gifted product

• Account removal

• Suspension from future programmes

6.1 Commission rate

The standard commission rate for Affiliates is 5 percent of the Net Sale Price unless otherwise agreed in writing. DKC may offer higher rates for selected campaigns, ambassadors, VIP partners or time-limited promotions.

6.2 Net Sale Price definition

Commission is calculated solely on the Net Sale Price, meaning the final customer purchase price excluding:

• VAT and taxes

• Shipping or delivery fees

• Returns or refund amounts

• Discount codes and promotional reductions

• Payment processing adjustments

• Platform credits used by the buyer

6.3 Eligible Purchases

Commission is only earned on Eligible Purchases that:

• Are tracked via your unique Affiliate Link or Code

• Are successfully paid and not cancelled or declined

• Are not returned within the return window

• Are not discounted by store credit or loyalty points issued to you

• Are not later subject to fraud or chargeback

6.4 Tracking and attribution

Commission is attributed to you on the basis of DKC’s tracked data including:

• Click-through tracking

• Cookie attribution windows

• Discount and referral codes

• Server-side tracking, where available

The default cookie attribution window is 30 days from first click unless otherwise stated.

6.5 Self-referrals prohibited

Commission is not payable for:

• Purchases made by you

• Purchases made by members of your household

• Purchases made under accounts you control

• Orders placed with intent to claim personal benefit

DKC may withhold or reverse commission where self-referral behaviour is detected.

6.6 Commission payout schedule

Commission is paid monthly in arrears after the relevant return window has closed and the sale is fully completed.

Minimum payout threshold: £25

Balances below this amount roll over to the next payment cycle.

Payment methods include:

• Bank transfer

• Store credit (where chosen or offered at enhanced rate)

6.7 Returns and cancellations

If a buyer returns an Item or cancels an order, associated commission will be reversed. If already paid, the negative balance will carry to the next payout cycle.

6.8 Misuse

DKC may temporarily pause or permanently refuse commission if we detect:

• Fraud or unusual activity

• Artificial traffic or coupon abuse

• Manipulative or spam promotional behaviour

• Misleading representation of the DKC brand

6.9 Commission rate changes

DKC may change the commission rate or structure with reasonable notice. Revised rates apply to sales made after the effective date of the change.

6a. Product Gifting and Loan

Gifting:

• Gifting has no monetary substitute unless agreed in writing

• Gifted product cannot be resold without written approval

• Usage rights apply per Section 7

Loaned product:

• Remains DKC property

• Must be returned by the agreed deadline

• Late return fees or replacement cost may apply

• Returned product must be in original condition

All items remain subject to DKC quality inspection.

7. Intellectual Property and Usage Rights

You retain ownership of content you create.

You grant DKC a royalty-free, worldwide, transferable licence to:

• Use, repost, promote and share content across all media

• Store and archive Deliverables

• Repurpose materials for marketing

• Use your name, image, voice, and likeness in connection with Deliverables

Duration: Campaign period + two years

Perpetual rights may be separately negotiated.

We may request removal of content that breaches brand guidelines or law.

8. Confidentiality

Campaign materials, briefs, and private platform information must remain confidential.

Confidentiality applies during participation and for five years after termination.

9. Exclusivity and Conflicts

Influencers must not promote:

• Direct competitors in children’s luxury resale or rental

• Programmes undermining circularity values (e.g. ultra-fast fashion)

During any live or contracted DKC Campaign period.

Affiliates have no exclusivity unless agreed in writing.

10. Termination

We may terminate participation:

• Immediately for breach, misconduct, fraud, or reputational risk

• With 14 days notice without cause

Upon termination:

• Tracking links and codes must be removed immediately

• No further commission accrues after termination date

• Gifting or loaned items may need to be returned

11. Tax Treatment

You are an independent contractor.

You are responsible for:

• Tax filings

• VAT registration if applicable

• Declaring income received

12. Liability and Indemnity

To the extent permitted by law:

• DKC liability is limited to fees or commission owed

• DKC is not liable for indirect or consequential losses

• You indemnify DKC against loss arising from breach, misrepresentation, or unlawful content

Nothing removes statutory consumer rights or liability for negligence causing personal injury.

13. Amendments

We may update these Terms at any time.

Continued participation constitutes acceptance of updates.

14. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes will be heard exclusively in the courts of England and Wales.
